These Terms of Service ("Terms", or "Agreement") govern your use of the website located at getfulle.com (the "Website") and any purchases made through the Website.

The Website is owned and operated by Fulle Foods Inc., a Delaware corporation ("Fulle," "Company," "we," "our," or "us").

By accessing or using the Website or purchasing products through the Website, you agree to be bound by these Terms.

By accepting these Terms, you consent to receive electronic communications from Fulle. These electronic communications may include notices about your subscription, payments, security, violations of the Agreement, suspension of your use of the Website and products, termination of the Agreement, changes to products, and other communications. You expressly agree to receive marketing communications from Fulle to the extent consent by accepting these Terms is permitted by law.

2. Eligibility and Account Responsibility

You must be at least 18 years old to use this Website or purchase products from the Website. By using the Website, you represent that you meet this requirement.

3. Products and Availability

Fulle sells shelf-stable protein powder products containing prebiotic fiber. Products may be sold as individual units, bundles, limited releases, or subscription deliveries. We reserve the right to refuse orders, modify, discontinue, or limit the availability of products at any time.

4. FDA / DSHEA Disclaimer

Information provided on the Website is for informational purposes only and is not medical advice. Statements regarding dietary supplements or nutrition have not been evaluated by the U.S. Food and Drug Administration unless expressly stated.

Products are not intended to diagnose, treat, cure, or prevent any disease. Consumers should consult a qualified healthcare professional before using dietary supplements.

Products sold on the Website are intended to comply with the Dietary Supplement Health and Education Act (DSHEA).

Structure/function claims are intended only to describe the role of nutrients or dietary ingredients intended to affect normal structure or function of the body.

5. Assumption of Risk/Food Allergy and Ingredient Disclaimer

Products may contain or be manufactured in facilities that process allergens including milk, soy, wheat, tree nuts, peanuts, or other allergens.

Consumers with allergies should review ingredient lists carefully prior to consumption. Fulle Foods Inc. is not responsible for allergic reactions resulting from product consumption. You assume all risks associated with consumption, including allergies or sensitivities.

6. Orders and Payment Authorization

You authorize us and our processors (including Shopify) to charge your payment method for all purchases. You will pay Fulle all fees for the products in accordance with Subscription Terms without withholding, offset, or deduction

All orders are subject to acceptance and availability. We reserve the right to cancel orders, limit quantities, or correct pricing errors.

Payments may be processed through Shopify and integrated payment providers including credit cards, Apple Pay, Google Pay, or PayPal.

Our store is hosted on Shopify Inc., which provides the e-commerce platform enabling product sales. Customer payment information may be stored through Shopify systems consistent with Shopify security practices.

7. Subscriptions (Auto-Renewal)

The Website may offer subscription services.

By enrolling in a subscription:

Your payment method will be automatically charged on a recurring basis.
Billing continues until cancelled.
Subscription confirmation will be provided via email.

California auto-renewal disclosure

If you are a California consumer, the following applies under California Business & Professions Code §17600:

Subscription charges renew automatically unless cancelled.
You authorize recurring billing at the interval disclosed during checkout.
Cancellation may be completed online through your Shopify account or by contacting support.
Email confirmation will be provided after enrollment.

Customers may cancel subscriptions through their account dashboard or by contacting hello@getfulle.com.

Cancellations must be submitted prior to the next billing cycle to prevent the next charge.

8. No Returns, Product Recalls, Shipping

All sales are final. To the maximum extent permitted by law, Fulle has no obligation to provide refunds or replacements. Any exceptions are made solely at our discretion and may be denied in cases of suspected abuse or fraud.

Products are shipped within the United States. Shipping timelines are estimates only. Risk of loss transfers to the customer upon delivery of products to the shipping carrier.

9. Safety Notices

If a product recall becomes necessary, the Company may notify customers using the contact information provided at purchase. Customers consent to receiving such communications.

10. Confidentiality

The receiving party agrees to protect Confidential Information with a reasonable degree of care. All non-public information disclosed by a party (the “disclosing party”) to the other party (the “receiving party”) that the receiving party knows or reasonably should know is confidential to the disclosing party is “Confidential Information,” except for the information which: (a) becomes publicly available through no fault of the receiving party; (b) is known by the receiving party at the time of receiving such information without confidentiality obligations; (c) is obtained by the receiving party on a non-confidential basis from a third party that was not restricted from disclosing such information; or (d) is independently developed by the receiving party without the use of Confidential Information.

11. User comments, feedback and other submissions

If, at our request, you send certain specific submissions (for example contest entries) or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments. By submitting content, you grant Fulle Foods Inc. a worldwide, royalty-free license to use, reproduce, and display such content for marketing or promotional purposes.

We may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Service.

You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.

12. Prohibited Uses and Resale Restrictions

Products purchased from the Website are intended for personal use only. Resale of products is prohibited without the express written permission of Fulle Foods Inc.

13. Chargebacks and Fraud

You agree to contact us before initiating a chargeback. We may recover associated costs. We reserve the right to investigate suspicious transactions and suspend accounts associated with fraudulent activity.

14. Intellectual Property, Beta Products and Limited Releases

All formulations, branding, and content are proprietary and may not be reverse engineered. All Website content, product formulations, branding, trademarks, recipes, and related intellectual property are owned by Fulle Foods Inc. and protected by applicable intellectual property laws.

Certain products may be released as limited or experimental offerings. Such products may change formulation, packaging, or availability without notice.

15. California Proposition 65

Some products may expose consumers to chemicals known to the State of California to cause cancer or reproductive harm.

16. Consumer Safety Complaints

Customers who experience product quality issues, safety concerns, or potential adverse reactions should immediately contact Fulle Foods Inc. at hello@getfulle.com. The Company may request additional information to investigate the issue, including product batch numbers or photographs of the product packaging.

17. Adverse Event Reporting

Consumers who believe they have experienced a serious adverse event associated with a dietary supplement product should discontinue use and seek medical attention. Customers may report such events to the Company at hello@getfulle.com.

The Company may maintain records of safety complaints in accordance with applicable regulatory requirements.

18. Disclaimer of Warranties

The Website, all content, and all products made available through the Website are provided on an “as is,” “as available,” and “with all faults” basis.

To the maximum extent permitted by applicable law, Fulle Foods Inc. and its affiliates, officers, directors, employees, agents, and suppliers expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including, without limitation:

Any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
Any warranties arising out of course of dealing, usage, or trade practice;
Any warranties that the Website or products will meet your requirements or expectations;
Any warranties that the Website will be uninterrupted, secure, or error-free;
Any warranties regarding the accuracy, completeness, or reliability of any content or information provided through the Website; and

Without limiting the foregoing, the Company does not warrant that any defects or errors will be corrected, or that the Website or servers are free of viruses or other harmful components.

19. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company parties be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including, without limitation:

Loss of profits, revenue, or business opportunity;
Loss of data or loss of goodwill;
Personal injury, illness, or adverse health effects, except to the extent caused by the Company's gross negligence or willful misconduct; or
Any damages arising out of or relating to your use of the Website or purchase or use of any products,

Even if the Company has been advised of the possibility of such damages.

To the maximum extent permitted by law, the total aggregate liability of the Company parties for any claim arising out of or relating to these terms, the Website, or any products shall not exceed the greater of:

(a) the amount you paid to the Company for the product giving rise to the claim; or
(b) one hundred u.s. Dollars ($100).

You acknowledge and agree that:

The disclaimers and limitations set forth in these terms are a fundamental basis of the agreement between you and the Company;
The Company would not be able to provide the Website or products on an economically reasonable basis without such limitations; and
These limitations shall apply notwithstanding any failure of essential purpose of any limited remedy.

Your jurisdiction may not allow the exclusion of warranties or limitation of liability, so the limitations or exclusions of sections 18 and 19 of this agreement may not apply to you. In such jurisdictions, the liability of Company will be limited to the greatest extent permitted by law.

20. Indemnification

You agree to defend, indemnify, and hold harmless Fulle Foods Inc., and its affiliates, parents, subsidiaries, officers, directors, employees, agents, contractors, suppliers, and service providers (collectively, the “Company parties”) from and against any and all claims, demands, actions, suits, proceedings, losses, liabilities, damages, judgments, settlements, costs, and expenses (including, without limitation, reasonable attorneys' fees and expert fees) (collectively, “claims”) arising out of or relating to:

Your access to or use of the Website;
Your purchase, handling, use, misuse, or consumption of any products;
Your breach or alleged breach of these terms;
Your violation of any applicable law, rule, or regulation;
Your violation of any third-party right, including without limitation any intellectual property, privacy, publicity, or other proprietary right;
Any content, data, or materials you submit, post, or transmit through the Website; or
Any fraudulent, negligent, or willful misconduct by you.

Control of Defense

The Company reserves the right, at its sole option and expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such event, you agree to cooperate fully with the Company in asserting any available defenses.

You may not settle any claim without the Company’s prior written consent if such settlement (a) imposes any liability or obligation on any Company party, or (b) does not unconditionally release the Company parties from all liability.

Reimbursement; Survival

You agree to promptly reimburse the Company parties for any costs and expenses incurred in connection with any claim subject to indemnification.

This indemnification obligation shall survive termination of these terms and your use of the Website.

21. Arbitration Agreement (AAA)

To the maximum extent permitted by applicable law, you and Fulle Foods Inc. agree that any dispute, claim, or controversy arising out of or relating to these terms, the Website, or any products (collectively, “disputes”) shall be resolved exclusively through final and binding arbitration, rather than in court, except as expressly provided below.

The arbitration shall be administered by the american arbitration association (“AAA”) in accordance with its applicable consumer arbitration rules (the “AAA rules”) then in effect, except as modified by these terms.

The seat of the arbitration shall be new york, new york.
Unless otherwise required by applicable law or agreed by the parties, the arbitration shall be conducted remotely (including by video or telephone), or, if an in-person hearing is required, in new york, new york.

The arbitrator shall have the exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of these terms is void or voidable.

The arbitrator may award any relief available under applicable law, subject to the limitations set forth in these terms.

This arbitration agreement shall survive termination of these terms and your use of the Website.

22. Class Action Waiver

All disputes must be brought in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator shall have no authority to consolidate claims or preside over any form of class or representative proceeding.

Notwithstanding the foregoing:

Either party may bring an individual action in small claims court, if the claim qualifies; and
The Company may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

23. Arbitration - 30-Day Opt-Out Right

You may opt out of this arbitration agreement by providing written notice within thirty (30) days of your first acceptance of these terms. Your notice must include your name, address, email, and a clear statement that you wish to opt out, and must be sent to: hello@getfulle.com.

If you do not opt out, this arbitration agreement will apply.

24. Termination

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our website, products and services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our services (or any part thereof).

25. Entire Agreement

These Terms of Service and any policies or operating rules posted by us on this site or in respect to our products constitutes the entire agreement and understanding between you and us and govern your use of the Website or our products or services, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service). Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party. 27. Force Majeure

Fulle Foods Inc. shall not be liable for delays or failure to perform due to events beyond its reasonable control, including acts of God, supply chain disruptions, labor disputes, transportation delays, or governmental actions.

28. Governing Law

These terms, and any dispute arising out of or relating to these terms, the Website, or any products, shall be governed by and construed in accordance with the laws of the state of delaware, without regard to its conflicts of law principles.

Subject to the arbitration agreement set forth herein, any action or proceeding permitted to be brought in a court of law shall be brought exclusively in the state or federal courts located in new york, new york, and you hereby irrevocably submit to the personal jurisdiction and exclusive venue of such courts.

You hereby waive any objection to venue, including any claim that such forum is inconvenient or improper, and agree not to commence any action or proceeding in any other jurisdiction.

Where we rely on your consent to process your personal information, you can withdraw consent you may have already provided at any time. Opt Out of Targeted Advertising
You can opt out of targeted advertising by clicking on "Privacy Choices" in the footer of our websites or in the settings of our mobile apps.

Close Your Account
You can close your account by logging in and deleting it in the account settings yourself, or by contacting us at hello@getfulle.com.

We encourage you to export all important information and documents from the account before closing it. Once closed, we will deactivate your account and begin deleting it along with its information and documents. When deleted, we cannot promise that you will be able to reactivate your account or recover information and documents from it.

How to Exercise Your Privacy Rights

To exercise your Privacy Rights, please submit a request it by email at hello@getfulle.com at any time.

Where permitted by law, you may authorize an agent or legal representative to make a Privacy Rights request to us on your behalf, but we will need to verify their identity by either requesting authorization proof from you or an agent or legal representative.

If we declined your Privacy Rights request, you may contact us about our decision or submit a request again by sending an email to hello@getfulle.com. If you are unsatisfied with our response to your Privacy Rights request, you have the right to raise questions or complaints with your local data protection authority at any time.

Limit Use of Sensitive Personal Information: In some circumstances, California law allows you to limit the use and disclosure of your sensitive personal information. As noted above, we collect login information for the limited purpose of allowing you to access your Fulle account and as required to maintain audit trails of document or transaction activity. We do not collect or use other sensitive personal information for other purposes.
Right of No Retaliation: You have the right not to receive discriminatory treatment for the exercise of your California privacy rights, subject to certain limitations, including if you are an employee, applicant, or independent contractor of our business.
Right to Know if Personal Information was Disclosed to Third Parties: We do not disclose personal information to any third parties for their direct marketing purposes (as defined by California Civil Code section 1798.83 or "Shine the Light" law). However, "Shine the Light" law allows California residents who provided personal information to and established a business relationship with a business for personal, family, or household purposes to request information whether the business disclosed personal information to any third parties for direct marketing purposes.

Minor's Personal Information

Our Services are not designed for or marketed to minors under 18. However, the users of our Services may purchase products on behalf of minors. Such users are responsible for obtaining appropriate consents from the minor's parent or legal guardian. If you are a parent or legal guardian and believe we store your minor's personal information, please email us at hello@getfulle.com for requests related to your minor's personal information.

Because the Internet is not 100% secure, and we cannot promise that your use of our Services will be completely secure, we use reasonable security measures as required by relevant laws. We encourage you to use caution when using the Internet, including not sharing your passwords to our Services.
